Within the Legal Business Line, the Domiciliation team provides clients with domiciliary and corporate secretary services. The team provides support for traditional investment funds/vehicles (“Mainstream”) and alternative investment funds/vehicles such as real estate, infrastructure, private equity and private debt, etc. (“PEREs”).
The role of the Corporate Support Officer is to work in collaboration with the Corporate Officer and to support a portfolio of clients throughout the legal lifecycle of Mainstream and PEREs undertakings for collective investment funds (“UCI”) and corporate entities for which CACEIS acts as a service provider.
For this internship main activities are:
· Ensure compliance with all legal and regulatory requirements regarding the proper execution of domiciliary and corporate secretary activities.
· Support and collaborate with the Corporate Officer in the execution of the domiciliation and corporate secretary services for a portfolio of clients, work autonomously, take ownership and responsibility for allocated tasks.
· Manage the receipt, treatment, dispatching and filing of the correspondence addressed to domiciled entities in a timely manner and in accordance with the filing procedure, organize outgoing of mailings and couriers.
· Maintain/follow-up of the planning/deadlines of upcoming corporate events such as shareholders’ meetings (“AGM/EGM”) and prepare all related draft documents (agenda, convening notices, proxy forms, AGM minutes (incl. resolutions), attendance lists…).
· Ensure that electronic filings of various documents to be lodged with the Luxembourg Business Register (i.e. annual reports, etc.), ordering of LBR extracts and any other corporate formalities following the holding of an AGM or a corporate event are performed on time.
· Liaise with fund/companies’ auditors and share all corporate documents necessary for the performance of their audit.
· Handle the proper filing, safekeeping (electronically and physically for domiciled entities) and archiving of corporate documents as required by law.
· Provide assistance to clients and other operational teams within CACEIS to ensure client satisfaction at each level and adopt a client-centric approach.
· Provide support and coaching to team members.
