Who we are looking for?

 

We are looking for a Legal Advisor to join our Corporate Legal team. The successful candidate will enjoy an extremely broad range of work and provide support to the ten person Amundi Ireland legal team, as well as our parent company in France (working in collaboration with French legal colleagues) and other asset management locations within the Amundi Group (working in collaboration with the over 100 legal colleagues across Europe).

 

Why this role is important to us?

 

This team of 3 corporate lawyers (part of the ten person Dublin legal department) plays an important role both locally and globally on a wide variety of contractual and regulatory matters including intergroup and client investment management and advisory agreements, outsourcing/procurement and general corporate work, and commercial agreements. The Corporate Legal team are also centrally involved in the drafting and negotiation of software as a service agreements as part of the sale of Amundi Technology services for Amundi’s new tech platform to the global financial services market.  

 

What you will be responsible for?

 

Client investment management agreements:

To draft, review and negotiate:

  • Investment management agreements relating to the provision of portfolio management services on behalf of various entities within the Amundi Group to key third party institutional clients/pension funds;
  • Investment advisory agreements with key third party institutional clients/pension funds and other entities in the Amundi Group.

Corporate:

  • Support the drafting and maintenance of both external client and group intercompany outsourcing and procurement agreements in accordance with Central Bank outsourcing guidance and best market practice.
  • Provide legal support to the Amundi Technology business line for all non-French clients (including NDAs, Software as a Service Subscription Agreements, client due diligence etc.) and local support as required on specific areas such as operational resilience.

Regulatory:

  • To advise and support on a variety of legal/regulatory issues (e.g. outsourcing, GDPR, UCITS, MIFID II, fund corporate governance code, CBI rules) where necessary, with support from legal colleagues.

Management Company:

  • Support Amundi’s management company activities including delegation of investment management activities.

General:
Draft, review and negotiate a wide range of commercial contracts (including software licences, service level agreements, purchasing contracts, outsourcing agreements, NDAs, & letters of engagement).
Assist with management of securities litigation for and on behalf of the Amundi Group funds.
Provide legal advice on a large number of corporate & commercial issues in a financial services environment.
Assist and support the Dublin based Legal Advisor (Corporate) and Dublin based Global Co-Head Corporate Legal as may be required.
The role will involve close collaboration with other lawyers across the Amundi Group in Europe, Asia and U.S.
Research on areas of interest to Corporate Legal team, including applicable regulation.

    • Education & Preferred Qualifications
      • Solicitor/barrister/lawyer with minimum of 1 yr PQE, ideally in one or more of the areas of corporate, commercial, finance, funds/ investment management.
      • Amundi supports further education such as the IOB Professional Certificate in International Investment Fund Services

      • Ability to identify important contractual issues quickly and explain succinctly and in a commercial manner to non-lawyers;
      • Capable of working as part of a team, supporting an extremely dynamic global asset management business;
      • Excellent interpersonal and organisational skills; and
      • Previous experience of funds, asset management, investment management agreements, data protection, outsourcing would be an advantage, but is not essential.
